1. Agreement to Legal Terms
We are Coredge IO Private Limited (“Company,” “we,” “us,” or “our”), a company registered in India at Office No. 02, 6th Floor, Tower-B, Embassy Galaxy Business Park, A-44 and 45, Sector-62, Noida, Gautam Buddha Nagar, Uttar Pradesh 201309.
We operate the website coredge.io (the “Site”) and provide sovereign cloud infrastructure, AI cloud platforms, Kubernetes orchestration, virtualization management, edge computing, and related services (collectively, the “Services”). Our Services include, but are not limited to, the following platforms and products:
• Dflare AI (AI Cloud Platform) — GPU-accelerated AI lifecycle management including compute provisioning, ML workspaces, model training, and inference.
• CCS-Cirrus Cloud Suite — Unified cloud operations toolkit for VMs, storage, networking, and multi-cloud management.
• Cirrus Cloud Platform (CCP) — Sovereign cloud orchestration from edge to multi-cloud environments.
• Coredge Kubernetes Platform (CKP) — Enterprise Kubernetes cluster management across data center and edge deployments.
• Cloud Orbiter — Multi-cloud application orchestration and interoperability platform.
• CVM (Coredge Virtualization Manager) — Virtual machine lifecycle management with resource optimization.
• CoRobots — Kubernetes-powered robotic fleet orchestration with sovereign AI capabilities.
These Legal Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Coredge IO Private Limited concerning your access to and use of the Services. By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree, you must discontinue use immediately.
We reserve the right to modify these Legal Terms at any time. We will notify you of material changes by updating the “Effective Date” above and, where appropriate, providing notice via email or a prominent announcement on our Site. Your continued use of the Services after such changes constitutes acceptance of the revised terms.
2. Description of Services
Coredge provides sovereign cloud and AI infrastructure designed for enterprises, governments, and regulated organizations that require complete control over data residency, security, and compliance. Our platforms enable customers to:
• Provision and manage GPU clusters, Kubernetes environments, and virtual machines within sovereign, geo-fenced infrastructure.
• Build, train, fine-tune, and deploy AI/ML models using dedicated compute resources with full data ownership.
• Orchestrate workloads across on-premises, private cloud, hybrid, and edge environments without dependency on foreign-jurisdiction hyperscalers.
• Operate under enterprise-grade SLAs with 99.9% uptime commitments for mission-critical workloads.
The specific features, capabilities, service levels, and pricing applicable to your use of the Services are governed by the applicable Master Service Agreement (MSA), Order Form, or Service Plan agreed between you (or your organization) and Coredge.
3. Intellectual Property Rights
3.1 Our Intellectual Property
Coredge is the owner or licensee of all intellectual property rights in the Services, including all source code, software, platform interfaces, APIs, documentation, architecture designs, website content, graphics, trademarks, service marks, and logos (collectively, the “Content” and “Marks”).
Our Content and Marks are protected by copyright, trademark, and other intellectual property laws in India and internationally. The Content is provided through the Services for your internal business use in accordance with these Legal Terms and any applicable service agreement.
3.2 Your Use of Our Services
Subject to your compliance with these Legal Terms and any applicable MSA, we grant you a non-exclusive, non-transferable, revocable license to access and use the Services solely for your legitimate business purposes. You may not:
• Copy, reproduce, modify, distribute, or create derivative works of any Content or platform component without our express written permission.
• Reverse engineer, decompile, or disassemble any software, API, or technical component of the Services.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices from the Services or Content.
• Use our Marks, product names, or branding in any manner that implies endorsement, affiliation, or sponsorship without prior written authorization.
3.3 Customer Data and Workloads
You retain all rights, title, and interest in your data, AI models, training datasets, and workloads processed through our platforms (“Customer Data”). We do not claim ownership of Customer Data. We process Customer Data solely to provide the Services and as directed by you under the applicable service agreement.
3.4 Feedback
If you provide suggestions, enhancement requests, or other feedback about our Services, you grant Coredge a perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize such feedback without obligation to you.
4. User Representations
By using the Services, you represent and warrant that:
1. You have the legal authority and capacity to enter into these Legal Terms, whether on your own behalf or on behalf of the entity you represent.
2. All information you provide to us is accurate, current, and complete.
3. You will use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards.
4. You will not use the Services in any manner that could damage, disable, overburden, or impair our infrastructure or interfere with other users.
5. You are not located in, or a national or resident of, any country subject to applicable trade sanctions that would prohibit your use of the Services.
5. Prohibited Activities
You may not use the Services for any purpose that is illegal, harmful, or inconsistent with these Legal Terms. Without limitation, the following activities are strictly prohibited:
• Using the Services to process, store, or transmit content that violates applicable laws, regulations, or third-party rights, including intellectual property, privacy, or export control laws.
• Attempting to gain unauthorized access to any part of the Services, other user accounts, computing resources, or network infrastructure.
• Deploying workloads designed to conduct cyberattacks, distribute malware, perform unauthorized surveillance, or engage in any activity that compromises the security or integrity of third-party systems.
• Using GPU, compute, or storage resources allocated to you to mine cryptocurrency or perform proof-of-work computations, unless explicitly authorized in writing by Coredge.
• Sublicensing, reselling, or redistributing access to the Services to third parties without a valid OEM, channel, or reseller agreement with Coredge.
• Circumventing or attempting to circumvent access controls, authentication mechanisms, usage limits, quotas, or any technical restrictions imposed by the Services.
• Scraping, harvesting, or automated extraction of data from our website or platform interfaces beyond what is permitted by our published APIs.
• Using the Services to train, fine-tune, or deploy AI models for purposes that violate applicable laws, promote violence, facilitate discrimination, or generate content intended to deceive or manipulate individuals at scale.
6. Service Management and Availability
We reserve the right to manage the Services in a manner designed to protect the integrity, performance, and security of our infrastructure. This includes the right to:
• Monitor platform usage for compliance with these Legal Terms, applicable service agreements, and our Acceptable Use Policy.
• Suspend or restrict access to the Services if we reasonably determine that your usage violates these terms, threatens platform stability, or creates a security risk.
• Perform scheduled and emergency maintenance, during which the Services may be temporarily unavailable. We will provide reasonable advance notice for scheduled maintenance.
• Modify, update, or discontinue any feature, product, or component of the Services with reasonable notice, subject to the obligations in your applicable service agreement.
Service level commitments, uptime guarantees, and support response times are governed by the applicable SLA or MSA between you and Coredge, not by these Legal Terms.
7. Data Sovereignty and Security
Sovereign data handling is a foundational principle of our platform and operations:
• Customer Data remains within the geographic region and infrastructure environment designated by the customer. We do not transfer, replicate, or process Customer Data outside the sovereign boundary without explicit customer authorization.
• We implement enterprise-grade security measures including encryption in transit and at rest, role-based access control, audit logging, and compliance with ISO 27001 and CMMI standards.
• We maintain operational controls to ensure that our personnel access Customer Data only as necessary to deliver the Services and only in accordance with the applicable service agreement and Data Processing Agreement.
8. Purchases and Payment
Access to certain features and compute resources within the Services requires payment. Payment terms, pricing, and billing cycles are specified in your Order Form, service plan, or MSA.
• All fees are quoted in the currency specified in your agreement and are exclusive of applicable taxes unless stated otherwise.
• Payment is due in accordance with the terms of your agreement. Late payments may result in suspension of Services and may be subject to interest charges as specified in your MSA.
• We reserve the right to modify pricing for the Services with at least 30 days’ written notice, applicable to subsequent renewal periods.
• Refund and credit policies are governed by the applicable MSA or Order Form, not by these Legal Terms.
9. Term and Termination
These Legal Terms remain in effect while you use the Services. Additionally:
• We may suspend or terminate your access to the Services immediately, without prior notice, if we reasonably believe you have violated these Legal Terms, engaged in prohibited activities, or pose a security risk to our infrastructure.
• You may discontinue your use of the Services at any time. Termination of paid services is governed by the cancellation and wind-down provisions in your applicable MSA or Order Form.
• Upon termination, your right to access the Services ceases. We will provide a reasonable data retrieval period (as specified in your service agreement) during which you may export your Customer Data. After this period, we may delete Customer Data in accordance with our data retention policies.
• Sections related to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution survive termination.
10. Disclaimer
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COREDGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Service level guarantees, where applicable, are provided solely through the SLA included in your MSA, not through these Legal Terms.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COREDGE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
Our total aggregate liability under these Legal Terms shall not exceed the greater of: (a) the total fees paid by you to Coredge during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100). This limitation does not apply to liability that cannot be excluded or limited under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Coredge and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
• Your use of the Services in violation of these Legal Terms or applicable law.
• Your Customer Data or workloads processed through our platforms.
• Your violation of any third-party rights, including intellectual property, privacy, or contractual rights.
• Any claim by a third party resulting from your use of the Services.
13. Governing Law and Jurisdiction
These Legal Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Legal Terms shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.
For enterprise customers with negotiated MSAs, the governing law and dispute resolution provisions in the MSA shall take precedence over this section.
14. Dispute Resolution
In the event of any dispute arising from these Legal Terms, the parties agree to first attempt to resolve the matter through good-faith negotiation for a period of thirty (30) days. If the dispute is not resolved through negotiation, either party may initiate formal proceedings in accordance with the governing law and jurisdiction provisions above.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent harm or protect intellectual property rights.
15. Modifications and Interruptions
We reserve the right to modify, update, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services, except as provided in your applicable MSA.
We cannot guarantee that the Services will be available at all times. Hardware failures, software updates, and network-level events may cause temporary interruptions. We will use commercially reasonable efforts to minimize disruption and provide advance notice of planned maintenance.
16. Corrections
Information on the Site or within the Services may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, features, or availability. We reserve the right to correct any such errors and to update information at any time without prior notice.
17. Electronic Communications
By using the Services, you consent to receiving electronic communications from us, including service notifications, security alerts, billing communications, and updates to these Legal Terms. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
18. Miscellaneous
• Entire Agreement: These Legal Terms, together with any applicable MSA, Order Form, DPA, SLA, and Privacy Policy, constitute the entire agreement between you and Coredge regarding the Services.
• Severability: If any provision of these Legal Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: No failure or delay by Coredge in exercising any right under these Legal Terms shall constitute a waiver of that right.
• Assignment: You may not assign or transfer your rights or obligations under these Legal Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failure of third-party telecommunications or power infrastructure.
